Introduction and Acceptance

Welcome to Fazl, a digital wealth building platform operated under the corporate ecosystem of the Walee Group. These Terms of Service govern your access to and use of the Fazl mobile application, website, related features, and financial access services.

By downloading, accessing, registering with, or using the Fazl platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms of Service, along with our Privacy Policy. If you do not agree to these terms, you must not access or use the platform.

Definitions

  • “Fazl” refers to the technology platform, mobile application, and related services offered by Fazl and its parent entity, Walee Group.
  • “User” or “You” refers to any individual who creates an account, accesses, or uses the platform.
  • “Partner Entities” refers to third-party regulated financial institutions, asset management companies, trustee entities, and regulatory frameworks (such as SECP-regulated platforms) integrated within or accessible via the Fazl ecosystem.
  • “Account” refers to the registered profile created by a User on the Fazl app to access micro-investing and saving services.

Account Eligibility and Registration

To create an Account and access the services provided by Fazl, you must satisfy the following conditions:

  • Be an individual at least 18 years of age.
  • Possess legal capacity to enter into a binding contract under applicable laws of Pakistan.
  • Hold a valid Computerized National Identity Card (CNIC) or Smart National Identity Card (SNIC) issued by NADRA.
  • Maintain an active Pakistani mobile phone number registered in your legal name.
  • Provide accurate, complete, and current information during account setup and keep your profile details updated.

Fazl reserves the right to decline any registration request or terminate an existing account at its sole discretion if eligibility requirements are not met or if false information is provided.

Identity Verification and KYC Compliance

As a provider of financial tools, Fazl is bound by statutory regulations established by financial authorities in Pakistan, including anti-money laundering (AML), counter-financing of terrorism (CFT), and Know Your Customer (KYC) directives.

  • You authorize Fazl to perform verification checks, either directly or through third-party services and government databases (including NADRA), to confirm your identity.
  • You agree to furnish additional documents, information, or proof of source of funds upon request.
  • Account activation and transaction limits remain subject to successful completion of required verification protocols.

Micro-Investing Services and Mechanics

Fazl operates as a digital interface facilitating access to micro-investing and savings options managed by regulated partner institutions.

Minimum Investment

Users can initiate account funding and wealth-building activity starting from a minimum threshold of Rs. 500, or such other minimum amount as specified on the platform from time to time.

Order Processing and Execution

All investment orders, funding requests, and redemption instructions placed through the application are passed through to partner financial institutions for execution. Processing timelines may vary based on banking operational hours, settlement cycles, and partner procedures.

Investment Performance

Fazl does not act as a portfolio manager or direct provider of investment funds. Investments made via the platform are placed into third-party financial instruments, mutual funds, or products offered by regulated asset managers. Historical performance metrics shown in the application are for illustrative purposes and do not guarantee future returns.

Financial Disclaimers and Risk Acknowledgment

  • No Financial Advice: Information provided within the Fazl application, marketing materials, or customer support channels does not constitute individualized financial, tax, or legal advice. Users are responsible for evaluating their investment decisions independently.
  • Market Risk: All investments carry inherent financial risks. The value of your investments may fluctuate, and you may receive less than your initial principal amount upon redemption.
  • Regulatory Oversight: Regulated financial products available through the platform are managed by licensed partner entities overseen by bodies such as the Securities and Exchange Commission of Pakistan (SECP). Fazl itself functions as the technology provider enabling seamless digital access.

Fees, Taxes, and Charges

  • Platform Fees: Fazl reserves the right to charge service fees, management platform fees, or transaction processing fees. Any applicable fees will be explicitly displayed to you prior to transaction confirmation.
  • Third-Party Fees: Banks, payment gateways, or partner asset managers may impose separate processing charges, which will be disclosed during account operation.
  • Taxation: You are solely responsible for all tax liabilities arising from returns or capital gains generated by your investments. Fazl or its regulated partners may deduct statutory withholding taxes at source in accordance with Federal Board of Revenue (FBR) directives and Pakistani tax legislation.

User Responsibilities and Account Security

  • Credential Protection: You are responsible for maintaining the confidentiality of your account login details, mobile personal identification numbers (PINs), and biometric authentication credentials.
  • Unauthorized Activity: You must notify Fazl customer support immediately if you suspect unauthorized access to your account or any breach of security. Fazl is not liable for losses resulting from compromised user credentials.
  • Prohibited Uses: You agree not to use the platform for unlawful activities, including money laundering, fraudulent transactions, system exploitation, or unauthorized automated access.

Intellectual Property

All rights, title, and interest in and to the Fazl platform, including software code, application interfaces, brand logos, trademarks, content, and technological designs, are the exclusive property of Fazl and the Walee Group.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the app solely for personal, non-commercial purposes in accordance with these terms. You agree not to reverse engineer, decompile, copy, or distribute any part of the platform without explicit written approval.

Third-Party Integrations and Partnerships

The platform may feature integrations, links, or collaborations with external partners within or outside the Walee Group.

Fazl does not control third-party platforms and assumes no responsibility for their operational availability, content, or external business practices. Interactions with third-party partners are governed by their respective terms and policies.

Platform Availability and Modifications

Fazl continuously updates and enhances its services. We reserve the right to:

  • Modify, suspend, or discontinue any feature, service, or functionality of the app at any time without prior notice.
  • Perform routine system maintenance, upgrades, or emergency security fixes, which may temporarily interrupt platform availability.
  • Adjust minimum investment amounts, daily transaction limits, or operational guidelines.

Fazl provides the platform on an “as is” and “as available” basis without warranties of any kind regarding uninterrupted uptime or fault-free operations.

Limitation of Liability

To the maximum extent permitted under Pakistani law, Fazl, its parent company Walee Group, its directors, officers, employees, and affiliates shall not be liable for:

  • Indirect, incidental, consequential, or punitive damages arising from your use or inability to use the platform.
  • Financial losses resulting from market movements, partner fund performance, or economic volatility.
  • System outages, network failures, bank delays, or technical disruptions outside our direct operational control.
  • Actions taken by regulatory authorities or changes in statutory laws affecting digital financial services.

Indemnification

You agree to indemnify, defend, and hold harmless Fazl, Walee Group, and their respective directors, officers, and employees from any claims, losses, liabilities, costs, or expenses (including legal fees) arising from your breach of these Terms of Service, violation of statutory regulations, or misuse of the platform.

Account Suspension and Termination

  • Termination by User: You may request the closure of your Fazl account at any time, provided all active holdings are redeemed and outstanding balances settled.
  • Termination by Fazl: Fazl may suspend or terminate your account immediately if you breach these terms, fail identity verification, engage in suspicious financial activity, or if mandated by law enforcement or regulatory bodies.
  • Effect of Termination: Upon account closure, pending lawful instructions will be settled, and remaining funds will be disbursed to your verified bank account, subject to regulatory clearance.

Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan.

Any dispute, controversy, or claim arising out of or relating to these terms or the use of the platform shall first be submitted to informal dispute resolution via Fazl support. If unresolved, the dispute shall fall under the exclusive jurisdiction of the competent courts situated in Islamabad, Pakistan.

Amendments to Terms

Fazl reserves the right to amend these Terms of Service at any time. Changes become effective immediately upon posting the updated terms within the mobile application or on the official website. Your continued use of the platform following any modifications constitutes acceptance of the updated terms.
